Terms of Service

These Terms of Service ("Terms") are a contract between you and CITROOT LLC, a California limited liability company, the provider of BDS Content Server ("BDS", "we", "us"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. The Service
BDS Content Server is a cloud-native content server implementing the SAP ArchiveLink interface. The Service consists of two parts, and these Terms cover both:
- The customer portal and licensing service we operate at app-test.bdscont.com — account management, subscriptions, license key issuance, and usage metering.
- The BDS Content Server software, which you deploy and operate in your own cloud environment under the license these Terms grant.
You are responsible for operating your own deployment, including its availability, backups, storage costs, and the security of the environment you run it in.
2. Accounts
- You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account.
- You must have authority to bind the organization you register on behalf of.
- You must be at least 18 and able to form a binding contract.
- We recommend enabling two-factor authentication. You are responsible for maintaining access to your authenticator and backup codes.
3. License grant
Subject to these Terms and to your payment of applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable license to install and use the BDS Content Server software in your own environment, for your internal business purposes, for the duration of your subscription term and within the quotas of your plan.
You may not: redistribute, resell, sublicense, or host the software as a service for third parties; reverse engineer, decompile, or disassemble it except to the extent that restriction is unenforceable under applicable law; remove or alter proprietary notices; or circumvent, tamper with, or falsify license key validation, quota enforcement, or usage metering.
We retain all right, title, and interest in the software and the Service. These Terms grant no rights other than those expressly stated.
4. Subscriptions, plans, and quotas
- Plans are offered in Free, Standard, Professional, and Enterprise tiers, billed annually at the prices shown at checkout.
- Each plan carries quotas — for example the number of repositories and the number of non-production and production SAP systems you may connect. Current quotas are shown on our pricing page and in the portal.
- Your deployment reports aggregate usage to the licensing service. Metered add-ons and usage beyond your plan's included quota are billed as described at purchase.
- The Free tier is provided as-is, without warranty or support commitment, and may be changed or discontinued.
5. Billing and payment
- Paid plans are billed in advance through our payment processors, Stripe and LemonSqueezy, on the cycle shown at checkout. Your use of checkout is also subject to that processor's terms.
- Fees are non-refundable except where required by law.
- Subscriptions renew automatically for successive terms unless you cancel. You can cancel at any time; cancellation stops future renewals and takes effect at the end of the current paid term.
- Fees are exclusive of taxes; you are responsible for any applicable sales, use, VAT, or withholding taxes.
- If payment fails or a subscription lapses, the associated license keys may expire and your deployment may stop validating.
6. Your data and your documents
- You retain ownership of all data you submit to the portal and of all content held in your own deployment.
- Documents archived in your BDS Content Server instance remain in your infrastructure. We do not receive, host, or process them, and we have no access to them. You are solely responsible for their legality, retention, and protection, and for meeting any records-retention or data-residency obligations that apply to them.
- You grant us only the limited license needed to host and process the account, organization, and billing data you enter in the portal, for the purpose of operating the Service.
7. Acceptable use
You agree not to: use the Service unlawfully or in violation of SAP's or any third party's terms or licenses; interfere with, overload, or abuse the Service; attempt to access accounts, data, or systems you are not authorized to access; probe or penetration-test our systems without our prior written consent; or share license keys or API credentials outside your organization.
8. Support
Support is provided at the level described for your plan at the time of purchase. Unless we have signed a separate written agreement with you, we make no uptime, response-time, or resolution-time commitment, and the Service carries no service-level agreement.
9. Term and termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access for breach of these Terms, for non-payment, or to protect the Service or others. On termination your license to the software ends, you must cease using it, and we may delete your data as described in the Privacy Policy. Sections 3, 6, and 10 through 13 survive termination.
10. Disclaimers
The Service and the software are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that it will meet your requirements, or that it will satisfy any regulatory, audit, or records-retention obligation that applies to you. You are responsible for validating the software against your own compliance requirements.
11. Limitation of liability
To the maximum extent permitted by law, CITROOT LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost or corrupted data. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless CITROOT LLC from claims arising out of your data, your deployment, your use of the Service, or your violation of these Terms.
13. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in California, and you and we consent to their jurisdiction.
14. SMS/Text message terms
If you provide your mobile number and request a verification code by SMS, you consent to receive text messages from BDS Content Server (a product of CITROOT LLC) at the number you provide. The only messages we send are one-time account-verification codes; we do not send marketing or promotional texts. Message frequency may vary. Standard message and data rates may apply. - Reply STOP to opt out of text messages at any time.
- Reply HELP for help, or contact support@bdscont.com.
- Consent to receive text messages is not a condition of purchase or use of the Service.
- Carriers are not liable for delayed or undelivered messages.
15. Changes
We may update these Terms. Material changes take effect on the "Last updated" date or as otherwise noticed; continued use means you accept them.
